The Board of Directors of Beyonics Technology Limited ("Beyonics") notes the announcement made by Flairis Technology Corporation Limited ("Flairis") on 11 July 2003 that the proposed merger between Beyonics and Flairis by way of a scheme of arrangement under Section 210 of the Companies Act, Chapter 50 of Singapore (the "Scheme") has been sanctioned by the High Court of Singapore (the "High Court") on 11 July 2003, and subject to the delivery of a copy of the order of the High Court to the Registrar of Companies and Businesses for registration, the Scheme is expected to become effective on 24 July 2003. Following the effectiveness of the Scheme, Flairis will become a wholly-owned subsidiary of Beyonics.

The Directors of Beyonics (including any who may have delegated detailed supervision of this Announcement) have taken all reasonable care to ensure that the facts and opinions stated in this Announcement are fair and accurate and that no material facts have been omitted and they jointly and severally accept responsibility accordingly.
