JOINT ANNOUNCEMENT
PROPOSED MERGER OF BEYONICS TECHNOLOGY LIMITED AND FLAIRIS TECHNOLOGY CORPORATION LIMITED
The Directors of Beyonics Technology Limited ("Beyonics") and Flairis Technology Corporation Limited ("Flairis") (collectively, the "Companies") refer to the earlier joint announcement of today relating to the proposed merger of the Companies by way of a scheme of arrangement, and attach a scanned copy of the signed merger agreement dated 24 March 2003. In addition, for the purposes of clarification, all references in the earlier joint announcement of today to "S$" and "$" are references to Singapore dollars.
The Directors of the respective Companies (including those who have delegated detailed supervision of this Joint Announcement) have taken all reasonable care to ensure that this Joint Announcement is fair and accurate, and that no material facts have been omitted and they jointly and severally accept responsibility accordingly. For the avoidance of doubt, in this Joint Announcement, the Directors of each Company are only responsible for the facts and/or information stated or made concerning their respective company.
